Using the published template of the power of attorney you confirm and agree about the following:

1. You assume all responsibility and risk in using this template of the power of attorney.

2. You will not make any claims against ZILVERLAW based on your use of this template of the power of attorney.

3. To indemnify, defend and hold harmless ZILVERLAW and its directors, officers, employees and agents and the successors and assigns of any of the foregoing from any and all claims, losses, damages, awards, settlements, costs, liabilities and expenses, arising out of usage of this template of the power of attorney.

4. IN NO EVENT WILL ZILVERLAW BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, PUNITIVE OR CONSEQUENTIAL DAMAGES OR FOR ANY LOSS OF PROFIT, REVENUE, SOFTWARE, BUSINESS OR DATA, REGARDLESS WHETHER ZILVERLAW WAS AWARE OF THE POSSIBILITY OF SUCH DAMAGES OR WAS NEGLIGENT.

5. ZILVERLAW does not require and does not ask you to provide your personal data or the personal data of third parties in connection with the use of the power of attorney template.

6. You are aware and fully understand that this power of attorney template is free of charge and any request for payment for this template is illegal and not issued by ZILVERLAW.

does hereby duly provide the following persons:

1.                Mr. Attorney, a citizen of ___________, passport series __________, issued by ________________on ___________, registered at:_________________ (the “Attorney”), and/or

2.                Mrs. Best Attorney, a citizen of ___________, passport series __________, issued by ________________on ___________, registered at:_________________ (the “Attorney”), and/or

each called the “Attorney” and collectively the “Attorneys”, each of stated persons may act independently,

with the following powers:

-  to represent, without limitations, the Principal in relations with shareholders of the Limited Liability Company “LAW FIRM” (registration umber LAW (hereinafter referred as “Company”) with state administrations, other governmental authorities and regulatory bodies, state registrars, tax authorities, statistical authorities, agencies of the Ministry of the Interior, notaries, state special purpose funds, pension funds, social insurance funds, any other funds, organizations and institutions, individuals and legal entities in the course of:

o   purchase of 100 (one hundred) % of shares of the Company by the Principal;

o   sale of the apartment No. __, street ___________, ______ city, Italy (hereinafter referred as “the Apartment”);

-  on behalf of the Principal, to adopt and sign purchase agreement, act of transfer (acceptance) of shares, according to which Principal purchases 100 (one hundred) % of shares of the Company which equals 1000 (one thousand) USD according to the Charter for the total price 1000 (one thousand) USD;

-  on behalf of the Principal to take part at Participants’ meeting of the Company with the right to vote on any issues of the agenda;

-            on behalf of the Principal, to adopt and sign decisions on changing the proportion of shares of the Company, to approve the Charter of the Company, to create governing bodies of the Company and elect members thereof, as well as other decisions to be made by the founders (the founders’ meeting, constitutive meeting);

-                to adopt decisions on execution, to execute and sign the shareholders’ agreement if a decision on its execution is made;

-                on behalf of the Principal, to adopt and sign purchase agreement, act of transfer (acceptance) of shares, according to which Principal sells the Apartment for the total price 1000000 (one million) EURO;

-                to submit and receive all documents connected with the purchase of shares Company by the Principal to and from state administrations, executive committees of appropriate council;

-                to pay any state and notary fees related to the purchase of shares;

-      to perform any other actions pertaining to the proper performance of the above.

This Power of Attorney was issued without the right of re-delegation and shall be valid until December 31st. 20__, provided that the Principal has an absolute discretion to and may at any time revoke this Power of Attorney.

This Power of Attorney shall be governed by the laws of Germany.
